Harvest Source – Terms and Conditions of Sale

1. Orders & Acceptance

All orders are subject to acceptance by Harvest Source LLC. Quotes are valid for a limited time and are not binding until confirmed by Harvest Source LLC. Harvest Source LLC reserves the right to cancel or refuse any order at its discretion.

2. Pricing

Prices are subject to change until order confirmation. Final pricing will include applicable product cost, freight, and taxes. While every effort is made to ensure accuracy, Harvest Source reserves the right to correct pricing or typographical errors.

3. Freight & Delivery

Freight charges are calculated and confirmed at the time of quote or order confirmation. Unless otherwise stated, all shipments are FOB Origin, and risk of loss transfers to the customer upon shipment.

Customer is responsible for:

  • Providing accurate delivery information
  • Ensuring site accessibility
  • Any additional delivery services (e.g., liftgate, limited access, re-delivery)

Delays caused by carriers, weather, or other factors outside of Harvest Source’s control may occur and do not constitute grounds for cancellation or damages.

4. Availability

All products are subject to availability. Estimated ship dates and lead times are not guaranteed. Harvest Source will communicate any known delays or shortages as soon as reasonably possible.

5. Payment Terms

Payment terms are as stated on the invoice or customer agreement. Harvest Source reserves the right to:

  • Require prepayment
  • Modify credit terms
  • Suspend or cancel orders for overdue accounts

Past due balances may be subject to interest charges.

6. Inspection & Claims

Customer is responsible for inspecting all goods upon delivery.

  • Shortages, damages, or discrepancies must be reported within 48 hours of delivery
  • Failure to notify within this timeframe constitutes acceptance of the order as delivered
  • Claims for damage in transit must be noted with the carrier at time of delivery

7. Returns

Returns require prior authorization from Harvest Source.

  • Unauthorized returns will not be accepted
  • Approved returns may be subject to restocking fees
  • Custom, special order, and commodity items are non-returnable

8. Substitutions

No substitutions will be made without customer approval unless previously agreed.

9. Limitation of Liability

Harvest Source shall not be liable for any indirect, incidental, or consequential damages, including but not limited to:

  • Loss of crops
  • Loss of profits
  • Operational delays

Total liability, if any, shall not exceed the purchase price of the goods in question.

10. Force Majeure

Harvest Source shall not be liable for failure or delay in performance due to events beyond its reasonable control, including but not limited to:

  • Weather
  • Supply chain disruptions
  • Transportation delays
  • Labor shortages

11. Governing Terms

These Terms and Conditions apply to all sales unless otherwise agreed in writing. Any conflicting terms provided by the customer are expressly rejected unless accepted in writing by Harvest Source.
